LIMITED LICENSE AND TERMS OF USE

By downloading the free CAPTAIN INTEGRITY picture strip, the person and organization listed on the preceding page (collectively, "Organization") is granted a limited license for use of the strip on the following terms and conditions:

1. The Organization will use the strip solely for internal purposes and will not display, disseminate, distribute or transfer the strip by any means to any person or entity outside of the employ of the Organization.
2. The Organization will not alter or modify the strip in any way.
3. The Organization will use the strip solely for purposes of determining whether or not the Organization would like to enter into a formal license agreement for use of the CAPTAIN INTEGRITY products. The Organization will make no other use of the strip including, but not limited to, use of the strip for purposes of developing similar or competing products.
4. The Organization acknowledges that all right, title and interest in and to the strip, the CAPTAIN INTEGRITY character and the CAPTAIN INTEGRITY products, including all copyrights and other intellectual property rights, are the sole and exclusive property of Robert A. Wade and that the Organization acquires only the limited license for use granted herein.
5. This limited license shall expire six (6) months from today's date. At the end of such six (6) month period, if the Organization has not entered into a formal license agreement as discussed in paragraph 3 above, it shall cease all use of the strip and destroy any copies thereof.
